VIF Communication Inc, an incorporated company, located at 924 Rue Verchères, Longueuil, QC J4K 2Z1 is the owner and administrator of the website www. viftele.com.
This User Agreement (the “Agreement”) sets forth the terms and conditions under which you may access and use the “Web Site”. By visiting and using the “Web Site”, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms, your sole and exclusive remedy is to discontinue using the Web Site.
Property
Everything displayed or otherwise accessible through the “Website”, including, but not limited to, articles, text, photographs, images, illustrations, audio clips, video clips, software and code (collectively, the “Content”), is protected by Canadian and foreign copyright and other laws and is the property of VIF Communication.
The “Web Site” is also protected under copyright law as a collection and/or compilation within the meaning of Canadian and foreign laws. You must comply with all other copyright notices, information and restrictions on or in the content accessed through the “Web Site”.
Notice and procedure for copyright infringement claims
The use, reproduction, modification, public performance or making available to the public, uploading or posting on the Internet, transmission, redistribution or other exploitation of the website or any content, in whole or in part, except as expressly provided in these terms and conditions, is prohibited without the express written permission of VIF Communication.
Trademarks
In addition to VIF Communication, other names, words, titles, phrases, logos, designs, graphics, icons and trademarks displayed on the “Website” may constitute registered or unregistered trademarks of VIF Communication or third parties.
Nothing contained on the “Website” should be construed as granting you any license or right to use any such content without the written permission of VIF Communication or the owner of a third party trademark.
Warranty waiver
The “Website” and all content are provided on an “as is” basis. When you visit and use the “Website”, you acknowledge and agree that you do so entirely at your own risk. VIF Communication makes no representations or warranties with respect to the “Web Site” and the Content, including, without limitation, no representations or warranties :
i) as to the accuracy, completeness, reliability, timeliness or suitability of the “Website” and/or the Content;
ii) as to the merchantability or fitness for a particular purpose of the content, including without limitation any information, data, software, products or services contained on or offered through the “Web Site”;
iii) as to the uninterrupted and error-free operation of the “Website”;
iv) as to the correction of defects or errors in the “Website”;
v) as to the absence of viruses or harmful elements in the “Website”; and
vi) as to the secure or unintercepted transmission of communications via the “Website”.
Limitation on liability
Subject to applicable law, in no event shall VIF Communication, its officers, directors, employees, agents or their respective successors and assigns be liable for any special, indirect or consequential damages of any kind, including, without limitation, any loss or damage of the nature of or relating to loss of business, loss of savings, loss of data and/or loss of profits, however caused, and whether or not based on contract (including breach of an essential obligation), civil liability (including negligence) or otherwise, in excess of one hundred Canadian dollars ($100 CAD), even if VIF Communication knew or should have known of the possibility of such damages.
VIF Communication shall not be liable for any loss or damage arising from your failure to protect your user ID, password or account information.
VIF Communication expressly disclaims any and all liability for the acts, omissions or conduct of any third party user of the “Web Site” and shall not be liable for any harm, loss, damage (including special, indirect or consequential damages) or expense arising in any way out of (i) the acts, omissions or conduct of any third party user; and (ii) the use of or inability to use any software, content, goods or services on or available through any site linked to the “Web Site”.
If you decide to visit or use any site linked to the “Website”, or any content, materials, software, goods or services linked from a site linked to the “Website”, you do so entirely at your own risk.
You hereby release VIF Communication and its officers, directors, agents and their respective successors and assigns from any damages you may suffer, and agree not to assert against them any claim arising from your purchase or use of products or services offered through the “Website”, including by third parties.
Lack of advice
The information contained on the “Web Site” is for informational purposes only. It is not intended as legal, accounting, tax, investment, financial, medical or other advice, and you should not rely on the information for such advice.

The “Website” contains hyperlinks to third party sites. These hyperlinks are provided for your convenience only and should not be construed as an endorsement by VIF Communication of the content of such third-party sites.
VIF Communication is not responsible for the content of any Third Party Site and makes no representations or warranties of any kind regarding any Third Party Site, including, without limitation, (i) any representation or warranty as to the legality, accuracy, reliability, completeness, timeliness or suitability of the content of any Third Party Site; ii) any representation or warranty as to the merchantability or fitness for a particular purpose of any material, content, software, goods or services on or offered through any Third Party Site; or iii) any representation or warranty as to the uninterrupted or error-free operation of such Third Party Site, the correction of defects or errors in such Third Party Site or the absence of viruses or other harmful components in such Third Party Site.
VIF Communication does not wish to be linked to any third-party site that i) contains, displays or transmits any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including, without limitation, any content constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, provincial, national or international law or regulation, that is likely to damage or harm the operations, business, credibility or integrity of VIF Communication Inc. or VIF Communication, or which contains, displays or transmits any material or information of any nature whatsoever which promotes racism, bigotry, hatred or any form of physical harm against any group or individual, which may be harmful to minors, which intends or advocates the harassment of another person, which offers material of a sexual or violent nature in which minors are exploited, which gives instructions on illegal activities, including, but not limited to, the manufacture or purchase of illegal weapons; or ii) which contains, displays or transmits any information, software or other material which violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights, or which is protected by copyright, trademark or other proprietary right.
VIF Communication reserves the right to prohibit or refuse to accept any hyperlink to the “Website”, including, without limitation, a hyperlink that contains or offers content or information of the foregoing nature, at any time. You agree to remove any hyperlink you may have to the “Website” upon VIF Communication’s request.
Software licenses and ownership
All software incorporated into the “Web Site” is the property of VIF Communication or its recognized licensors. You are hereby authorized to access and use the software incorporated into the “Web Site” subject to (i) the terms and conditions of this Agreement and (ii) such other terms and conditions of access to and use of such software as may be imposed.
If the “Web Site” offers software for download, unless otherwise specified, you hereby receive, subject to (i) the terms and conditions of this Agreement and (ii) any other terms and conditions that may apply to the download and use of such software, a non-exclusive, non-transferable, personal license non-transferable and personal license (i) to install and operate one copy of the Software in object code format on one non-networked computer for personal, non-commercial use, and (ii) to reproduce the Software to the extent reasonably necessary to install and operate the Software, and to create reasonable backup copies as permitted by law.
Except as expressly permitted in this Agreement, you may not: (i) use, reproduce, modify, adapt, translate, download or transmit the Software in whole or in part; (ii) sell, rent, license, transfer or otherwise provide access to the Software; (iii) modify, remove or cover any trademark or proprietary notices contained in the Software; and/or (iv) decompile, disassemble, decrypt, extract or reverse engineer the Software or assist any other person to do so.
Nothing on the “Web Site” shall be construed as granting you any right, title, interest or other license in or to any software incorporated into the “Web Site” or which may be downloaded from the “Web Site”, including, without limitation, any intellectual property rights in the software.
All software incorporated into the “Web Site” is provided “as is” without warranty of any kind, either express or implied, including, without limitation, any warranty (i) as to the merchantability or fitness for a particular purpose of the software; (ii) as to the compliance of the software with certain specifications relating thereto; (iii) as to the absence of material defects in the software; (iv) as to the absence of viruses or other computer contaminants in the software; or (v) as to the ability of the software to process or manipulate data relating to dates or time without interruption or abnormal downtime.
Compensation
You agree to indemnify, defend and hold harmless VIF Communication Inc, as well as VIF Communication and its officers, directors, employees, agents, licensors and their respective successors and assigns, harmless from and against any and all claims, demands, liabilities, costs or expenses whatsoever, including without limitation legal fees and disbursements, resulting directly or indirectly from: (i) your breach of any of the terms and conditions of this Agreement; (ii) your visit, use or inability to visit or use the “Web Site” or any site to which the “Web Site” is or may be linked from time to time; (iii) your use of, or reliance on, any publications, communications, distributions or downloads of any kind through the “Web Site”; and/or (iv) your violation of any law or regulation.
Registration
In order to use certain features of the “Web Site”, you may be required to register. You agree to (i) provide true, accurate, current and complete information about yourself as prompted by a registration form; and (ii) maintain and promptly update the information you provide to keep it true, accurate, current and complete. If VIF Communication has reasonable grounds to believe that such information is untrue, inaccurate, not current or incomplete, it has the right to suspend or terminate your right to visit and use the “Web Site” (or any part thereof). VIF Communication’s use of any personally identifiable information you transmit to VIF Communication as part of the registration process is governed by the terms of the Web Privacy Practices.
Passwords
In order to use certain features of the “Website”, you may also require a user name and password, which will be provided to you upon completion of the “Website” registration process. You are responsible for maintaining the confidentiality of your password and account, and are fully responsible for all activities that occur under your password or account. You agree to notify VIF Communication immediately of any unauthorized use of your password or account or any other breach of security, and to exit from your account at the end of each session. VIF Communication shall not be liable for any loss or damage arising from its or your failure to protect your password or account information.
Security
Please note that information sent or received over the Internet is generally not secure and that VIF Communication cannot and does not make any representations or warranties regarding the security of any communication through the “Website” or regarding the interception by third parties of personal or other information.
Withdrawal
WordPress Montréal may at any time, without notice, in its absolute discretion and without cause, terminate your right to visit and use the “Web Site” (or any part thereof). WordPress Montréal may also terminate your right to visit and use the “Web Site” (or any part thereof) if you fail to comply with any term or condition of this Agreement.
Applicable law and jurisdiction
By visiting or using the “Website”, you agree that all matters relating to your visit or use of the “Website” and/or the Content shall be governed by the laws of the Province of Quebec and the laws of Canada, without regard to principles of conflict of laws. You agree and hereby submit to the non-exclusive jurisdiction of the Federal Court of Canada and/or the courts of the Province of Quebec with respect to such matters. You agree that the provisions of the United Nations Convention on Contracts for the International Sale of Goods shall not apply.
General information
VIF Communication’s consent to or waiver of any breach by you of this Agreement, express or implied, shall not constitute consent to or waiver of any other or subsequent breach. You may not assign or transfer this Agreement or any rights and/or obligations hereunder. If any term or provision of this Agreement is held by a court of competent jurisdiction to be invalid, such term or provision shall be severed from this Agreement and the remaining provisions shall remain in full force and effect without being invalidated in any way. This Agreement shall not create a partnership, joint venture or agency relationship between the parties. Except for those agreements with VIF Communication that expressly reference this Agreement, this Agreement constitutes the entire agreement between you and VIF Communication relating to the subject matter of this Agreement.
